Transmission of Shares

Transmission is not the same as transfer. When a shareholder dies, the securities pass by operation of law to the nominee or, where there is no nomination, to the legal heirs. The registrar requires a specific evidentiary chain before it will act.

Who is eligible

  • The registered holder is deceased.
  • You are the registered nominee, a surviving joint holder, or a legal heir.
  • The shares are held in physical or dematerialised form.

  • Death certificate of the holder
  • Original share certificates or demat statement
  • PAN and Aadhaar of all claimants
  • Legal heir certificate, succession certificate, probated will or letters of administration
  • Notarised affidavit, indemnity bond and NOCs from other heirs
  • Client Master List of the receiving demat account

Frequently asked questions

No. Where a valid nomination exists, or the value falls below the registrar’s threshold, an affidavit, indemnity and heir NOCs are usually sufficient. We assess this before you spend on court proceedings.
